 Background:

UNDP is a key partner to the Global Fund to Fight HIV/AIDS, Tuberculosis and Malaria (GFATM) and is the UN agency assuming the role of Principal Recipient of GFATM grants in Sudan. As the Principle Recipient of 5 grants (2005-2013) amounting to USD 300 million, UNDP is managing the largest fund portfolio in the Arab region. UNDP‘s management role consists in implementing grants, ensuring financial accountability, and training of more than 32 national and international counterparts on programme management and financial accountability. In its role as Principle Recipient, UNDP ensures quality financial management, timely procurement of supplies and service delivery as well as efficient monitoring and evaluation of grant implementation activities.


 
 Duties and responsibilities:

Under the guidance and direct supervision of the GFATM Programme Manager, the Legal Analyst shall provide legal advice and services required by the GFATM Programme Management Unit (PMU), and upon request of the Country Office, in its day-to-day operations, on commercial and institutional matters. The Legal Analyst will closely liaise with the Legal Support Office (LSO)/Bureau of Management in New York. This includes the following tasks: • Provide legal advice on commercial law, including contracts and claims, operational agreements between UNDP/GFATM and various stakeholders, private sector partnerships and UNDP regulations, rules and procedures in all matters affecting the GFATM PMU, except matters relating to the Staff Regulations and Rules which are handled by LSO. • Review and modify operational agreements, as necessary and appropriate, of the GFATM PMU including agreements with governmental entities and project documents before submitting them to the management for approval. Departures from model texts must be coordinated with LSO. • Provide technical input in the development and finalization/negotiation of contracts with the all Global Fund sub-recipients to ensure timely delivery of services; • Provide guidance on UNDP regulations, rules and procedures. • Participate in the analysis and reengineering of procedures and strategies particularly with respect to flow of work between the GFATM PMU sections, external bodies and units within the UNDP Country Office. Make proposals towards the increase of productivity of the GFATM PMU with a streamlining of operations for greater efficiency and accountability. • In consultation with LSO, the Procurement Support Office (PSO) and the Office of Human Resources (OHR), draft, review, negotiate and clear substantial and complex contracts for services, goods and lease of real property, service contracts and special services agreements for individual contractors, including advising on the policy frameworks for such contracts, as appropriate. • Assist in the resolution and avoidance of contractual disputes with particular emphasis on establishing preventive measures for the future. Provide advice on the resolution of complaints and other legal demands presented to the UNDP/GFATM PMU. Liaise with LSO in cases where the Country Office is not able to resolve the dispute locally and before formal dispute resolution is instituted and promptly in all cases of notice of court litigation. • Review and improve proposed modifications to standard form contracts and procurement documents in use by the GFATM PMU, in consultation with LSO. • Providing legal oversight to non-contract/procurement personnel to ensure that their involvement in the acquisition process conforms to established procedures and regulations and that adequate administrative control is in place. • Ensure the understanding and appreciation of emerging corporate priorities at the PMU/Country level by organizing learning events/sessions. Promote learning through knowledge-sharing and building by facilitating the capture, application and sharing of knowledge acquired through training and participation in the Practice/learning Networks and with other staff members for learning and performance. • Supply direct assistance and advice to the Programme Management on contracting and other administrative matters, when requested. Prepare/review TORs of legal consultancies, when required, in consultation with LSO. Serve as counterpart for legal consultants. • Support and assist the UNDP country office on legal and contractual matters, approximately 10% of time and if required. • Facilitate training on UNDP legal and operational framework, in particular regarding privileges and immunities, legal implications of procurement, and legal aspects of partnership arrangements and other agreements, including specialized training on the partnership with Global Fund to Fight Aids, Tuberculosis and Malaria • Support and assist other team members and undertake additional tasks as assigned by the GF Programme Manager, if required.  Minimum Qualification, Skills and Experience Required:

• Advanced degree in law; specialization in international law, commercial law and/or administrative law; • Member of a National Bar. At least 3 years legal experience with a private law firm, a government or international organization; • Strong experience in practicing law in international environment with in-depth experience in contracting, commercial, and administrative law • Familiarity with UNDP programme implementation modalities, rules and regulations is a distinct asset, as well as knowledge of UNDP administrative and financial management procedures. Experience with Global Fund programmes is an advantage. • Working knowledge of PCs as well as excellent knowledge of Microsoft Windows and Microsoft Office applications; • Fluency in both written and spoken English and Arabic.
